Good morning. I'm Douglas Campoli, Chief Financial Officer and Treasurer of Arcimoto. It's a pleasure to welcome you to this special meeting of shareholders. This meeting is now called to order. We'll now turn to procedural matters and to conduct the formal business of the meeting. The record date for the meeting was October 3, 2022, only shareholders of record on the close of business on that date are entitled to vote at this meeting. I have received an affidavit of mailing from Broadridge Financial Solutions, Inc. that indicate that the notice of Internet availability of proxy materials was mailed on or about November 11, 2022, to all shareholders of record. The proxy materials were furnished to our shareholders by providing access to them on the Internet, and were first available on the Internet on November 11, 2022.
A copy of the proxy materials will be maintained with the minutes of this meeting. I've been appointed as the Inspector of Elections for the meeting and have signed an oath of office, which is available for your examination
