Atlas Crest Investment Corp. II (NYSE: ACII.U, ACII) (the “Company”) will be holding a Special Meeting of stockholders on December 1, 2022, at 10:30 a.m., Eastern Time, at the offices of Kirkland & Ellis LLP, located at 601 Lexington Avenue, 50th Floor, New York, New York 10022 (the “Special Meeting”). At this Special Meeting, stockholders will be asked to vote on, among other matters, a proposal to amend the Company’s amended and restated certificate of incorporation (the “Charter”), which would, if implemented, allow the Company to redeem all of its outstanding public shares prior to December 30, 2022, in advance of the automatic termination date of February 8, 2023 (such earlier termination date, the “early termination date”).
